Basel III and the government debt crisis have rendered an invaluable service to our transaction practice: almost any transaction in the areas of corporate or real estate financing requires more than one call to a bank. Banks themselves seek advice as to how they can make equity capital available. As a consequence, the financing components of the transactions we support gain in structure and complexity. Equity capital, mezzanine, or other types of financing represent important legal challenges. We view it as our task to examine financing solutions particularly regarding potential stress conditions: it is of great importance whether a financing solution would work in case one party had to file for insolvency. In our view, solutions for funding requirements furthermore lie in an adequate alignment of financing elements with entrepreneurial needs. It is important for an entrepreneur to understand which financing solution suits his needs in the long run, and whether he will personally and within his entrepreneurial scope meet a construct’s requirements. We contribute our own experience to our legal advice and our entrepreneurial activities to identify capable co-advisors from our network and to define and fully implement financing solutions.
